Terms of Service

These Terms of Service ("Terms") govern access to websites (including worksight.biz) and WorkSight's SaaS offerings and related tools (collectively, the "Services") provided by WorkSight. By requesting access, creating an account, using the Services, or continuing to browse where applicable laws treat that as acceptance, you agree to these Terms.
Eligible use
You must be legally able to enter a binding agreement in your jurisdiction. You agree to provide accurate registration details and safeguard your credentials.
Subscriptions, trials, and fees
Paid features, trials, renewal, cancellations, refunds, taxes, and related billing mechanics are disclosed at purchase or checkout and reflected in invoices and plan documentation. Unused credits or quotas may expire as described in-product.
License and restrictions
We grant you a non-exclusive right to access and use the Services during your authorized subscription or trial, solely for lawful business purposes. You will not misuse the Services, attempt to circumvent rate limits or security, reverse engineer our software beyond fair use exemptions, scrape in violation of robots or overload our systems, harass others using contact data surfaced in-product, infringe intellectual property rights, or use the Services in jurisdictions or manners prohibited by sanctions or law.
Your content and instructions
As between us, you retain rights to Customer Data that you submit. You instruct us to process Customer Data as needed to operate the Services, including enrichment, AI-assisted analysis, outbound communications you configure, and storage. You confirm you have the rights and consents necessary for submissions (including lawful basis for any personal data you instruct us to process on your behalf).
AI outputs
WorkSight's analyses, scores, summaries, drafts, prompts, outreach assets, maps, overlays, enrichments, and comparable outputs ("AI Outputs") are assistive tools. AI Outputs may be incomplete or erroneous. You are responsible for validating AI Outputs, especially outreach, disclosures, contractual language, bids, and compliance-sensitive actions, prior to reliance.
Intellectual property
WorkSight retains rights to the Services, logos, aggregated or deidentified analytics improvements, templates excluding your Customer-specific content, algorithms, workflows, prompts, UX, datasets we license or create aside from your Customer Data, and documentation ("WorkSight Materials"). Except for the narrow license above, no rights transfer to you. Feedback you provide may be freely used without obligation.
Telemetry and communications
Operational emails, transactional notices, and product updates may reference your interactions. Certain marketing messages may honor opt-outs where legally required as described at send time or in settings.
Warranty disclaimer
THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE EXTENT LAWFUL, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS LIMIT WARRANTY DISCLAIMERS; IN THOSE CASES DISCLAIMERS APPLY TO MAXIMUM ALLOWED EXTENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKSIGHT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. WORKSIGHT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS WORKSIGHT RECEIVED FROM YOU FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
Indemnity
To the fullest extent permitted by law, you indemnify WorkSight and its directors, contractors, affiliates, vendors, and successors from third-party claims, damages, settlements, liabilities, judgments, fines, penalties, and costs (including reasonable attorneys' fees) arising from your misuse of the Services or violation of laws or third-party rights in connection with your Customer Data or use of AI Outreach features.
Suspension and termination
We may suspend or terminate accounts for misconduct, unpaid bills, misuse, unlawful activity, or risk to stability. Sections intended to survive (including ownership, disclaimers, limitations of liability where enforceable, indemnity, governing law carve-outs) survive cessation.
Third-party services
Maps, imagery, enrichment providers, analytics, telemetry, payments, or other integrations may be subject to third-party terms presented in-product.
Governing law and disputes
Venue and governing law are intended to defer to contractual master agreements negotiated with enterprises; where no master agreement specifies otherwise this shall be construed under the laws applicable to contracting parties of WorkSight HQ locale with exclusive courts there except where forbidden. If you reside in jurisdictions granting local mandatory consumer protections, those rules may supersede contradictory provisions only to minimally required extent.
Changes
We may update these Terms and will post revisions here with an updated date. For material changes, we will provide additional notice where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires a different process.
Severability and assignment
If a provision is unenforceable, the remainder remains in effect. WorkSight may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
